Most startups proudly link \u201cTerms &#038; Conditions\u201d at the bottom of their website and think they\u2019re protected.<\/p>\n<p><\/p>\n<p><strong>But here\u2019s the catch:<\/strong><\/p>\n<p><\/p>\n<figure><img decoding=\"async\" src=\"https:\/\/fiolegal.com\/wp-content\/uploads\/2026\/07\/121857_962267da8c0249a19be6204657d2fb86_mv2-scaled.webp\" alt=\"Jovens profissionais num espa\u00e7o de coworking moderno em Lisboa a passar por um vinil de parede gigante com texto ileg\u00edvel de Termos e Condi\u00e7\u00f5es, ilustrando como os utilizadores ignoram contratos passivos.\"\/><\/figure>\n<p><\/p>\n<p>If no one ever agreed to them, they\u2019re just decorative legal wallpaper. \u2696\ufe0f The problem: no assent = no contract.<\/p>\n<p><\/p>\n<p>Courts don\u2019t assume users have read your Terms just because the link exists.<\/p>\n<p><\/p>\n<p>They look for two key things:<\/p>\n<p><\/p>\n<p>1\ufe0f\u20e3 Did users have clear notice of the terms?<\/p>\n<p><\/p>\n<p>2\ufe0f\u20e3 Did they unambiguously agree to them? If either is missing, your T&#038;Cs may not be enforceable \u2014 no matter how well written.<\/p>\n<p><\/p>\n<p><strong>Real example<\/strong><\/p>\n<p><\/p>\n<p>In <em>Kauders v. Uber<\/em> (<em>Massachusetts Supreme Court<\/em>, 2021), Uber argued that users had agreed to its arbitration clause by using the app.<\/p>\n<p><\/p>\n<p>But the court disagreed \u2014 the sign-up screen didn\u2019t clearly tell users that by tapping \u201cRegister,\u201d they were entering a contract.<\/p>\n<p><\/p>\n<p>Same in <em>Berman v.
