Sounds protective, right? But in real life, that clause isn\u2019t a force field.<\/p>\n

Courts often look at what you do \u2014 not just what\u2019s written.<\/strong><\/p>\n

And I\u2019ve seen informal behavior quietly erase hard-won rights.<\/p>\n

Real Example<\/strong><\/p>\n

A SaaS company had a client that was always late on payments. Instead of enforcing late fees, the account manager kept sending friendly emails: \u201cNo worries, just pay when you can.\u201d<\/p>\n

When the company finally decided to terminate for non-payment, the client fought back \u2014 arguing that the startup had accepted the delays as normal business practice. And the court agreed.<\/p>\n

\u2022 When you tolerate a breach, send a reservation of rights notice, e.g.: \u201cWe\u2019re accepting this late delivery without waiving our future rights.<\/em>\u201d<\/p>\n
<\/p>\n
\u2022 Train your team \u2014 especially in sales, operations, and customer success \u2014 to avoid casual emails that undo your legal protections.<\/p>\n
